Stefan Bomhard will step down as CEO of Imperial Brands at the end of September to join Flutter Entertainment as an independent non-executive director, bringing decades of leadership experience from multinational consumer brands to the gambling operator’s board.
Bomhard will leave his role as Chief Executive Officer of Imperial Brands on September 30, 2025, and will step down as Executive Director on December 31, 2025. His appointment to the Flutter board takes effect October 1, 2025.
Flutter’s board said Bomhard qualifies as an independent director under New York Stock Exchange listing standards. The company noted that the appointment followed a search conducted as part of its ongoing board renewal process.
“Following an extensive search as part of our ongoing Board renewal process, I am delighted to welcome Stefan as a non-executive director,” said John Bryant, Chair of the Board at Flutter. “Stefan has significant experience working in international environments, particularly in the operation, sales, and marketing of well-known consumer brands.”
Before joining Imperial Brands, Bomhard was CEO of Inchcape and held senior roles at Bacardi Limited, Cadbury, Unilever Food Solutions Europe, Diageo (Burger King), and Procter & Gamble. He is currently a non-executive director of Compass Group.
According to Flutter’s corporate governance guidelines, an independent non-executive director is expected to oversee management in the interests of shareholders, free from relationships that might compromise independence. The role involves monitoring business risks, participating in board and committee discussions, ensuring compliance with applicable regulations, avoiding conflicts of interest, and maintaining confidentiality. Independent directors also meet in executive sessions without management to provide objective oversight.
Flutter, which operates across regulated betting and gaming markets worldwide, reorganized earlier this year into two core divisions—US and International. Flutter’s dual-division model is intended to address compliance requirements while maintaining competitiveness and responsiveness to regulatory changes.
