Terms and Conditions of Use

Welcome to Yogonet® (hereinafter, “Yogonet,” “we,” “us,” or the “Service”), a news, information and communications service operated by Yogonet S.A. Yogonet provides content and services through its primary website www.yogonet.com and related domains, subdomains, mobile applications, newsletters and digital formats (collectively, “Yogonet.com” or the “Site”).

By accessing, browsing, or using Yogonet.com you agree to be bound by these Terms and Conditions of Use (the “Terms”). If you do not agree with any part of these Terms, your sole remedy is to stop using the Site.

1. Acceptance and scope

1.1. By using Yogonet.com you represent that you are at least eighteen (18) years of age or have the legal capacity to enter into a contract in your jurisdiction.

1.2. These Terms govern the relationship between you and Yogonet regarding access, navigation and use of the Site and the services offered therein, including, without limitation, news content, newsletters, publications, databases, subscription services and interactive features.

1.3. Yogonet’s Privacy Policy and Cookies Policy are integral parts of these Terms and are available on the Site. Your acceptance of these Terms includes acceptance of those policies.

2. Definitions

For purposes of these Terms, unless the context otherwise requires:

• “Content” means all material, text, images, video, audio, data, graphics, files, posts, comments, reviews, metadata, trademarks, or any other content published on the Site.

• “User” means any person who accesses or uses the Site, whether registered or not.

• “Registered User” or “Member” means a User who has created an account on the Site.

3. Registration and user accounts

3.1. Certain features require registration and the creation of an account. You are responsible for the accuracy of registration information and for keeping your account credentials confidential.

3.2. You agree to notify Yogonet immediately of any unauthorized use of your account or any other security breach you become aware of.

3.3. Yogonet may refuse, suspend or terminate accounts and access in the event of breach of these Terms, suspected fraud or misuse, or for any other reasonable cause, at its sole discretion.

4. Intellectual property and licenses

4.1. Ownership of Yogonet content. Except as expressly provided in these Terms, all original Content published on Yogonet.com (including, without limitation, text, photographs, graphics, databases, site layout and software) is owned by Yogonet or its licensors and is protected by applicable intellectual property laws.

4.2. Limited license to users. Yogonet grants the user a limited, revocable, non-exclusive, non-transferable license to access and view Content for personal, non-commercial use only. Any reproduction, redistribution, public communication, transformation or reuse of Content outside the permitted scope requires prior written authorization from Yogonet or the rights holder.

4.3. Trademarks. All trademarks, trade names, logos and other distinctive signs displayed on the Site are the property of Yogonet or third parties. Reproduction without authorization is prohibited.

4.4. Databases. Databases contained on the Site and related rights are protected. Systematic extraction or reuse of Content without authorization is prohibited.

5. User-generated content

5.1. User responsibility. You represent and warrant that any Content you post or submit to the Site is accurate, original, does not infringe third-party rights and complies with applicable law.

5.2. Grant of rights. By posting, submitting or otherwise sending Content to the Site, you grant Yogonet S.A. a FREE, worldwide, non-exclusive, sublicensable and transferable, royalty-free license to reproduce, distribute, adapt, publish, translate, publicly perform, store and exploit such Content in any format, medium or channel for the purpose of operating, promoting and exploiting the Site and related services. This license includes the right to modify, edit or create derivative works for editorial, archival or promotional purposes.

5.3. Moral rights and attribution. Where required by law and whenever reasonably practicable, Yogonet will make reasonable efforts to attribute authorship. Unless you expressly state otherwise and where permitted by law, the foregoing license may entail waiver or limited exercise of certain moral rights to the extent legally possible.

5.4. Prohibited content. Content that is unlawful, defamatory, libelous, pornographic, incites hatred, endangers minors, infringes intellectual property or violates public order will not be permitted.

5.5. Moderation. Yogonet reserves the right, but has no obligation, to moderate, edit, refuse or remove any user-submitted Content that violates these Terms or for any other legitimate reason.

6. Conduct and prohibited uses

6.1. You agree not to, among other things:

• a) Provide false, misleading or inaccurate information.

• b) Use the Site for unlawful purposes or in bad faith.

• c) Post or transmit content that infringes the rights of third parties.

• d) Perform scraping, crawling, harvesting, mass indexing or any automated data extraction without Yogonet’s prior written consent.

• e) Introduce viruses, spyware, malware or other harmful code.

• f) Interfere with the operation of the Site or the access of other users.

6.2. Upon detection of such conduct, Yogonet may apply technical and administrative measures, including IP blocking, account suspension, content removal and legal actions.

7. Access, security and technical measures

7.1. Yogonet uses commercially reasonable efforts to maintain the Site operational and accessible, but does not warrant continuous availability or error-free operation. Yogonet may perform maintenance or updates that cause temporary interruptions.

7.2. You agree not to attempt to circumvent, decompile, disassemble or reverse engineer any component of the Site, or to bypass technical measures implemented to protect the Site.

8. Copyright claims (Notice and Takedown Procedure)

8.1. If you believe your copyrighted work has been posted on Yogonet.com without authorization, you must send a notice to Yogonet’s legal representative at [email protected] containing at minimum:

• a) Identification of the rights owner and contact information.

• b) A clear description of the copyrighted work and the location on the Site where the allegedly infringing material is found (URL).

• c) A statement that the information provided is accurate and, under penalty of perjury, that you are the rights holder or authorized to act on behalf of the holder.

• d) Your electronic or physical signature.

8.2. Upon receipt of a valid notice, Yogonet may temporarily remove or disable access to the allegedly infringing Content while it investigates. Yogonet will notify the alleged infringer and allow them to submit a counter-notification or explanation within a reasonable timeframe (normally 10 business days).

8.3. If a properly substantiated counter-notification is received, Yogonet may restore the Content and will notify the parties, unless a court order or other circumstances require continued removal under applicable law.

8.4. Yogonet reserves the right to reject clearly unfounded or fraudulent claims and may seek damages when appropriate.

9. Subscriptions, payments and paid services

9.1. Terms specific to paid content or services will be governed by additional subscription terms which supplement these Terms. Those terms will specify price, billing cycle, automatic renewal policy, payment methods and refund/cancellation policy.

9.2. Prices will be stated in the applicable currency and may include applicable taxes. Yogonet may change fees upon reasonable prior notice to subscribers.

9.3. Unless otherwise agreed, subscriptions will auto-renew at the end of each term unless cancelled by the subscriber in accordance with the cancellation procedure provided on the subscription page.

9.4. In case of non-payment Yogonet may suspend access until payment is regularized.

10. Editorial corrections and retractions

10.1. Yogonet is committed to correcting material errors and publishing retractions when appropriate. The editorial corrections policy will be available on the Site.

10.2. Corrections will be made to the original article, a record of changes will be maintained, and, where applicable, a correction or clarification note will be published.

11. Privacy and cookies

11.1. The collection and processing of personal data is governed by Yogonet’s Privacy Policy available on the Site. That policy explains what data is collected, for which purposes, how it is shared and how to exercise rights of access, rectification, deletion and objection under applicable law.

11.2. Yogonet uses cookies and equivalent technologies to improve navigation, provide functionality, perform analytics and serve personalized advertising. Certain cookies require the user’s prior consent, which can be managed via the Site’s cookie settings tool.

11.3. For international data transfers, Yogonet will adopt legal and technical measures in accordance with applicable law.

12. Disclaimer and limitation of liability

12.1. Yogonet endeavors to verify the accuracy of Content but does not guarantee that published information is complete, accurate or up to date at all times.

12.2. TO THE FULLEST EXTENT PERMITTED BY LAW, YOGONET SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS) ARISING FROM THE USE OR INABILITY TO USE THE SITE.

12.3. Yogonet’s direct liability for damages arising from these Terms shall, where applicable, be limited to the total amount actually paid by the user in the twelve (12) months preceding the event giving rise to the claim. This limitation shall not apply where prohibited by law.

12.4. Yogonet does not warrant that the Site is free from viruses or other harmful components.

13. Indemnity

You agree to indemnify, defend and hold harmless Yogonet and its officers, directors and affiliates from and against any claims, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of: (i) your use of the Site; (ii) your breach of these Terms; (iii) your infringement of third-party rights; or (iv) any unlawful, negligent or willful conduct by you.

14. Termination and suspension

14.1. Yogonet may suspend or terminate any user’s access at its sole discretion for violations of these Terms or for conduct that jeopardizes the integrity of the Site or third parties.

14.2. Termination does not relieve the user from outstanding obligations and does not affect provisions that by their nature survive termination (e.g., intellectual property, limitation of liability, indemnity, governing law and jurisdiction).

15. Force majeure

Neither party will be liable for failure to perform obligations due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, telecommunications failures or governmental acts.

16. Independent contractors

The parties acknowledge that they are independent contractors. These Terms do not create any partnership, agency, employment or joint venture relationship between the user and Yogonet.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect.

18. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Argentine Republic. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the ordinary courts of the City of Buenos Aires, to the exclusion of any other forum.

19. Changes to the Terms

Yogonet may modify these Terms at any time. Updated versions will be posted on the Site and, when changes are material, registered users will be notified by email to the address provided in their accounts. Continued use of the Site after the effective date of changes constitutes acceptance of the modified Terms.
