The vote was conducted at DEQ’s annual and special meeting of shareholders, which took place on May 27, 2015 in Québec City. All other matters set out in the Circular were approved by shareholders at the meeting.
Following the conclusion of the meeting, and after a discussion with the members of the board of directors of DEQ, Mr. He will continue to act as a consultant to the Board. The Board wishes to thank Mr. Telesmanic for his invaluable contributions to DEQ and dedication to the Company during his tenure, and wishes him well in his future endeavors.
DEQ confirmed that its Board has appointed Mr. David D. Ross as an independent director of the Company to fill the vacancy left by Mr. Telesmanic. Mr. Ross served as Chief Executive Officer and Director of Affinity Gaming from 2011 to 2014. He previously served as the Chief Operating Officer - Gaming and as a member of the Office of the Chief Executive Officer for Herbst Gaming Inc., a predecessor of Affinity Gaming. Prior to joining Herbst Gaming Inc. in May 2009, Mr. Ross spent 25 years with Coast Casinos, now a division of Boyd Gaming Corp., serving in a variety of management positions. Most recently he served as Coast Casinos’ Chief Operating Officer from 2004-2008. Mr. Ross earned a B.A. in Business Management and a M.S. in Hotel Administration from the University of Nevada, Las Vegas.

The Board is now composed of the following four members: Messrs. Joseph E. Bertolone, Earle G. Hall, Alexandre Lattès and David D. Ross, two of whom are independent within the meaning of National Instrument 52-110, namely Messrs. Lattès and Ross. Mr. Ross will act as Chairman of the Board and as the Whistleblower Officer. The audit committee will now consist of Messrs. Lattès (Chair), Ross and Bertolone, the governance and compensation committee will consist of Messrs. Ross (Chair), Lattès and Hall, and the compliance committee will consist of Messrs. Lattès (Chair), Hall and Bertolone.
